1. Agreement

These Terms of Service ("Terms") govern access to and use of the UnicoreLMS website, applications, APIs, and related services (the "Service") provided by UnicoreLMS ("we", "us", or "our"). By creating an account, signing in, or using the Service, you agree to these Terms.

If you use the Service on behalf of a school, college, university, or other organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility and accounts

You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. Notify us promptly of any unauthorized access or security incident.

We may suspend or terminate accounts that violate these Terms, pose a security risk, or are used unlawfully.

3. Institutional use

The Service is designed for educational institutions and authorized users such as administrators, staff, teachers, students, and partners. Each institution is responsible for:

  • Configuring roles, permissions, and module access appropriately.
  • Ensuring data entered into the platform is accurate and lawfully collected.
  • Complying with applicable education, privacy, and employment laws.
  • Maintaining internal policies for student records, fees, attendance, and communications.

4. Acceptable use

You agree not to:

  • Use the Service for unlawful, harmful, or fraudulent purposes.
  • Attempt to gain unauthorized access to systems, accounts, or data.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Upload malware, abusive content, or material that infringes intellectual property or privacy rights.
  • Reverse engineer, scrape, or resell the Service except as expressly permitted.

5. Subscriptions and fees

Paid plans, trials, and license terms are described at the time of purchase or provisioning. Fees are billed according to the selected plan unless otherwise agreed in writing. Failure to pay applicable fees may result in suspension or termination of access.

Institutions remain responsible for fee records, invoices, and financial transactions processed through the platform, even when payment collection features are enabled.

6. Intellectual property

UnicoreLMS and its licensors retain all rights in the Service, including software, branding, documentation, and underlying technology. Institutions retain ownership of their own data and content uploaded to the Service.

You grant us a limited license to host, process, and display institution data solely to provide and improve the Service.

7. Confidentiality and data protection

We handle personal and institutional data in accordance with our Privacy Policy, including the User data deletion process. Each party agrees to protect confidential information received from the other and to use it only for permitted purposes.

8. Service availability

We strive to keep the Service available and secure, but uninterrupted or error-free operation is not guaranteed. Maintenance, updates, and events outside our control may cause temporary downtime. We may modify or discontinue features with reasonable notice where practicable.

9. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis to the fullest extent permitted by law. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, UnicoreLMS will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from use of the Service. Our total liability for any claim relating to the Service will not exceed the amount paid by the institution to us in the twelve months preceding the event giving rise to the claim, or one hundred US dollars if no fees were paid.

11. Indemnification

You agree to indemnify and hold harmless UnicoreLMS from claims, damages, losses, and expenses arising from your use of the Service, violation of these Terms, or infringement of third-party rights, except to the extent caused by our negligence or willful misconduct.

12. Termination

Either party may terminate access in accordance with the applicable subscription or license agreement. Institutions may request export of their data before termination where supported. Provisions that by nature should survive termination will remain in effect.

13. Governing law

These Terms are governed by the laws applicable in the jurisdiction where UnicoreLMS operates, without regard to conflict-of-law principles, except where mandatory local law requires otherwise.

14. Changes

We may update these Terms from time to time. Material changes will be posted on this page with an updated "Last updated" date. Continued use after changes take effect constitutes acceptance of the revised Terms.
